APPENDIX 1 VCOM Employee Intellectual Property Agreement to Abide by Policy

I understand that, consistent with applicable laws and regulations, VCOM is governed in the handling of intellectual property by its official policy R005 titled “Intellectual Properties and Agreements Policies and Procedures” (published in the VCOM Institutional Policies and Procedures Manual), and I agree to abide by the terms and conditions of those policies, as if set out herein, and as they may be amended from time to time. Pursuant to those policies, and in consideration of my employment by VCOM, the receipt of remuneration from VCOM, participation in projects administered by VCOM, access to or use of facilities or resources provided by VCOM and/or other valuable consideration, I hereby agree as follows: 1. I will disclose to the VCOM Research Division all Intellectual Property (IP), as defined in said Policy R005, conceived or first reduced to practice, in whole or in part, during my VCOM employment or responsibilities. I hereby assign to VCOM all my right, title and interest in such IP as determined by the Research Division to be owned by VCOM by policy and to execute and deliver all documents and do any and all things necessary and proper on my part to effect such assignment. 2. I understand that, for the purposes of intellectual property rights and management, software or other unpatented tangible research property is considered to be IP, whether or not patent protection is sought, and I hereby assign to VCOM all my right, title and interest in such property determined by the Research Division to be owned by VCOM, and any associated patents or copyrights. 3. VCOM policy states that all rights in copyright, other than for software, shall remain with the creator unless the work: a. is a work-for-hire or completed by a VCOM employee in the performance of their duties (and copyright therefore vests in VCOM under copyright law); or b. is supported by a direct allocation of funds through VCOM for the pursuit of a specific project; or c. is commissioned by VCOM; or d. makes use of VCOM support; or e. is otherwise subject to contractual obligations; or f. relates to the business of VCOM or any of its affiliates, parent companies or subsidiaries. I hereby assign to VCOM all my right, title and interest, including associated copyright, in and to copyrightable materials falling under a) through f), above. 4. I am now under no consulting or other obligations to any third person, organization or corporation in respect to rights in inventions or copyrightable materials which are, or could be reasonably construed to be, in conflict with this agreement. 5. I will not enter into any agreement creating copyright or patent obligations in conflict with this agreement. 6. This agreement is effective on the later of January 1, 2013 (on the one hand) or my date of hire, enrollment, or participation in projects administered by VCOM (on the other hand), and is binding on me, my estate, heirs and assigns.

The signer should make a copy of this agreement for his or her own records, and hereby waives any objection to VCOM’s use of an electronic version of this agreement as a substitute for the original for any legally recognized purpose.
